The Consultant’s rights and duties
The Consultant will perform the contracted task and will act loyally and solely in the Client’s interests. Within the framework of an agreement the Consultant will be free to design and plan the execution of her services, working hours and place of work. Upon conclusion of the task the Consultant undertakes to return all materials handed over by the client and will at the same time hand over all documentation, guidelines, etc. worked out by the Consultant as part of solving the task.
The Client’s contribution
During the performance of the task the Client agrees to make all necessary and relevant documentation available to the Consultant and agrees to provide any information about the Client’s business needed to solve the task. The Client will appoint one or more person to communicate with the Consultant. The communication shall be via e-mails, meetings and all other important and available methods of communication.
Reporting
The Consultant and the Client shall agree upon the meetings to be held. At the meetings the Consultant is to account for the project status and the Consultant and the Client will jointly discuss the implementation of any initiatives to be taken in the time up to the next meeting. On a weekly basis the Consultant will report to the Client on the hours consumed.
Remuneration
The Consultant and the Client shall agree upon the fee for performing the task. Depending on the task, there are three alternatives for payment; fixed contractual fee, fixed contractual fee for performing the individual phases of the task and payment on an hourly basis. The fee shall be paid in US$ or Euro or any other currency as agreed by the Consultant and the Client. Payment of fees does not include the Consultant’s outlays or extraordinary expenses. The Consultant fee does not cover any extra work resulting from the Client’s extending the scope of the original task or changing its contents. The Consultant’s fee and claim for refund will be stated exclusive of VAT. The Client and the Consultant shall work out a time-schedule. Under certain circumstances e.g., if the Client extends the scope of the task or changes its contents, the Consultant may demand an extension of the time-schedule agreed upon.
Liability
If the Consultant exceeds the time schedule for a task without having a claim for extension of the time, the Consultant shall be held liable in accordance with general rules on delay of the law of a country as agreed upon by the Consultant and the Client.
The Consultant’s liability in damages cannot exceed her Consultant’s fee for performing the specific task.
Confidentiality
The Consultant shall keep secret all information not universally know as well as any material about the Client. This duty of secrecy shall also apply after the completion of the task and after the expiry of the agreement.
